Participating in “GREEN ACRES”:- 1.1 Participation by Distributors is subject to terms and conditions framed or announced or changed or prevalent at the point of time intimated to the person / persons and the same shall be deemed to constitute acceptance by the participants of such terms and conditions as amended from time to time. 1.2 Applicants, when accepted, is called “Independent Distributor”, referred herein as “Distributor” represents and warrants that Distributor understands the marketing program and compensations plan and is not relying on any representation or promises that is not contained in this agreement or other official company material. 2. Promises by sponsoring Distributor: - 2.1 GREEN ACRES makes promises contained in this Agreement and in other official Company material published by the Company and no distributor is authorized to make any additional promises to a prospective distributor. 2.2 If an applicant relies on any promises made by a Distributor trying to sponsor him or her that are not in this agreement and or Official Company material, and that Sponsoring Distributor fails to keep any such promise, the Applicant shall only have to recourse against such sponsoring Distributor and not the Company. 2.3 Any additional offers, representations made by a sponsoring Distributor in connection with company's program are prohibited and would result in termination of distributorship. 3. Distributor's Rights and Responsibilities: - 3.1 By applying to participate in the GREEN ACRES’ s home based business program, a Distributor understands that the distributor will be bound by the terms hereof and that the distributor will be entitled to participate as a distributor, upon acceptance of a valid application by “GREEN ACRES.” 3.2 wherein he gets to participate in unique and dynamic business plan as specified in “GREEN ACRES.” program. 3.3 Distributor understands that to earn commissions in the program, he is responsible for generating business for his / herself and GREEN ACRES. 3.4 To do this, the Distributor will personally refer Sales of product packages, will build his or her team and contact prospects by phone or in person. 3.5 The Distributor is responsible for training those, recommended by him and teaching them how to train others, once they are recommended. 4. Independent Distributor: - 4.1 Distributor agrees that upon acceptance of this application by GREEN ACRES., 4.2 Distributor will be called Independent Distributor and will have no authority to bind the Company to any obligation, commitment of any kind. 4.3 The relationship with GREEN ACRES. is established only by this agreement. Distributor is not an agent, or an employee or any other legal representative of GREEN ACRES. Distributor is solely responsible for all income taxes, any central, state, and local or service tax that may be due as a result of Distributor's business activities. 4.4 Distributor agrees to abide by any central or state laws, rules and regulations pertaining to this agreement. 4.5 At distributors own expense, he will make, execute and file all such reports, returns as required by law or public authority with respect of this agreement. 5. Company Policies and Rate Changes: - 5.1 Distributor agrees that GREEN ACRES. may from time to time change the incentive plan, rates, prices, charges and rules and regulations of this agreement. 5.2 If Distributor chooses to remain in the program, he agrees to abide by those changes. 5.3 Any such notice shall be deemed to have been given and received as of the day after such notice is put in one of the following media namely the Company's website, sent by e-mail or disseminated via other mode of mass communication. 5.4 It is distributor's responsibility to stay abreast of developments communicated in this fashion. 5.5 The company reserves the right to change the “GREEN ACRES.” program wholy or in parts thereof in any manner whatsoever at any time without notice limiting the technology of the foregoing, the Company shall have the right to Change the present membership, conditions of enrolment and these terms and conditions etc. 6. Eligibility & Legal age: - 6.1 The Distributor has to be Indian national to be competent to enter this agreement. 6.2 He or she should not have been prevented or prohibited under any law in force from entering into this contract. 6.3 The applicant has to be 18 years of age as on date of application in order to be eligible to become a Distributor. 6.4 In case of applicant being a minor, the parents or guardian is to sign the agreement and other documents on behalf of the minor. 6.5 The onus of responsibility lies on the parent or guardian only. 6.6 The relationship of signatory is to be mentioned below the signature in agreement. 7. Income Representation: - 7.1 Distributor understands that although Distributor may recommend other Distributors into GREEN ACRES. business program dose not allow the Distributor to profit solely from activity of recommending other Distributors. 7.2 Commissions are paid only on sale of actual product package and other product sales that are made which are recommended by Distributor or by other Distributor's that fall in Distributor's that fall in Distributors down link network. 7.3 No one should make any promise or guarantee that Distributor will derive specific income or profit as a Distributor. 7.4 Distributor understands that any income he earns from the “GREEN ACRES.” program of GREEN ACRES. is determined by Distributor's personal activity as an independent Distributor. 7.5 Distributor understands that product package and other product sale commission shall be paid only to qualified “selling” Distributors and to his / her down line or up line. 7.6 Distributors shall not make any income representations. GREEN ACRES. does not guarantee the growth of the Business program and shall not be held responsible for it. 8. Product distribution & Replacement Policy: - 8.1 It would take approximately eight days from time of sign up for product delivery. 8.2 However due to reasons beyond comprehension of the company and under unavoidable circumstances ,should there be a genuine reason for delay of product delivery the company will intimate about delay or Distributor can contact office . 8.3 Clarify the delay and collect . 8.4 The Distributor agrees that GREEN ACRES will replace any damaged product only on the grounds of manufacturing defect ,in which case the product is to be returned within two days of receipt of product falling which there is no replacement guarantee. In case of transit Defect the product is to be returned immediately and note of defect to be written on acknowledgement slip of courier /post receipt while taking delivery of product Replacement where application will be given at the earliest. 8.5 The company prohibits inventory loading by Distributor in excess of Distributor actual immediate requirements for resale and for personal use. 9. Indemnity :- 9.1 DISTRIBUTOR INDEMNIFIES AND HOLDS “GREEN ACRES. ”HARMLESS AGAINST ALL CLAIMS MADE BY ANY THIRD PARTY AND RELATED DAMAGES AND EXPENSES (INCLUDING REASONABLE ATTORNEYS FEES ) ARISING OUT OF OR CONNECTED WITH DISTRIBUTORS CONDUCT THE GOODS OR SERVICE THE DISTRIBUTORS OFFERS ANY TAX RELATED PENALTIES AND CHARGES INCURED BY DISTRIBUTOR AND ANY VIOLATION OF THIS AGREEMENT BY THE DISTRIBUTORS . 10. Trade mark and Marketing materials: - 10.1 Distributor will not use GREEN ACRES s trade name or trademarks except to promote GREEN ACRES s business program. 10.2 In all such authorized use, Distributor will make clear that Distributor is an independent Distributor. 10.3 Sale of marketing materials is not commission able. 10.4 GREEN ACRES makes no warranty. 10.5 Express or implied with respect to use efficacy or suitability for any purpose with respect to any marketing material unless otherwise explicitly stated in writing in connection with purchase thereof it is prohibited to use company s name in any URL except those owned company. 11. Nomination: - 11.1 Distributor can nominate a person to be his successor for transfer of Distributorship GREEN ACRES Program. 12. Sale of Distributorship: - 12.1 In order to maintain the integrity of company s sale organization, if a Distributor desires to sell his “DISTRIBUTORSHIP”, the Distributor must first offer it for sale in writing to Distributors immediate up line from the Distributorship to be sold. 12.2 If the up line Distributor declines to purchase the Distributorship, the selling Distributor is then free to sell the Distributorship to someone else on same terms and conditions as was offered to up line Distributor. 12.3 All such sale require the completion of a transfer form and payment of transfer fees of Rs. 250/- and must be approved by the Company. 12.4 All the incentives accrued on the position's account would also be transferred to the new Distributor. 12.5 A Distributor can avail a facility to collect his / her cumulative incentives generated in “GREEN ACRES” Business Program on monthly, quarterly, half yearly and yearly basis. 12.6 Independent Distributor, if wishes to avail this facility has to inform “GREEN ACRES” office in writing stating very clearly that exact tenure facility he / she wants to avail for receipt of cumulative incentives. 12.7 No interest will be paid on accumulated incentives. 13. Imposition of penalty /termination of distributorship: - 13.1 If a Distributor breaches any of the provisions of this agreement . 13.2 violates any application law or regulation or engages in any false, misleading or unfair trade practice, including but not limited to making income representations or making promises to potential Distributor that cannot be kept by the Distributor (hereinafter called violation) misrepresenting or exaggerating the Efficacy of the products. 13.3 Any such violation is ground for imposition of penalty termination of distributorship as more fully set hereafter. 14. Arbitration: - 14.1 All disputes between Distributor and company arising out of or in relation to this program shall be first settled by amicable negotiations between the parties . 14.2 In event of the disputes being settled between parties amicably, then the same shall be referred to sole Arbitrator appointed by GREEN ACRES . 14.3 The Arbitration proceedings shall take place at pune and in accordance with Arbitration And 1996. 14.4 All the Arbitration proceedings and submissions shall be English only. 14.5 Independent Distributor would not hold company responsible for delays or failure in fulfilling its obligations due to circumstances and reasons beyond its control such, as riots, fire war earthquake or any other natural disaster government orders etc. 15. Data/Information from Distributors: - 15.1 All registration information provided by Distributor GREEN ACRES.. must be accurate and complete. 15.2 Distributor must update and correct registration information if it changes. 16. Advertisement by distributors: - 16.1 Distributors shall not publish / release advertisement for GREEN ACRES. business program or otherwise solicit related business by advertisement in violation of code of ethics of Network Marketing industry or any other similar state or central law and regulation. 17. Entire Agreement:- 17.1 This agreement constitutes the entire agreement between the parties on the subject matter hereof, and no other additional promises, representations, guarantees or agreements of any kind shall be valid concerning such subject matter unless in writing or signed by an authorized officer at GREEN ACRES.
